AMENDED BY-LAWS

ARTICLE I - NAME
Name - the name of this corporation shall be the SOUTHERN NEVADA CHAPTER of the NATIONAL
RAILWAY HISTORICAL SOCIETY, INC. (SNC-NRHS)

ARTICLE II - OFFICES

SECTION I: Offices - the principal office of the SNC-NRHS for the transaction of its business is located
in the County of Clark, Nevada

SECTION II: Change of address - the County of the SNC-NRHS principal office can be changed only
by amendment of these By-Laws, and not otherwise. The Board of Directors may, however, change
the principal office from one location to another within said county by noting the changed address and
effective dat below, and such change of address shall not be deemed an amendment of these
By-Laws:

SECTION III: Other offices - The SNC-NRHS may also have offices at such other places within or
without the State of Nevada where it is qualified to do business, as its business may require and as
the Board of Directors may from time to time designate.

ARTICLE III - PURPOSE
Purpose - the purpose of this corporation is to preserve and promote railroad history. Educational
activities include the acquisition, restoration, and exhibition of railroad engines, cars, structures and
memorabilia. Our purpose also is to encourage the use of rail transportation.

ARTICLE IV - MEMBERSHIP

SECTION I: Membership - any person of good character, Twelve (12) years of age or over, without
exception to race, creed or national origin, shall be eligible for membership, but no person under 18
(eighteen) years of age shall be eligible to hold any elective office.

SECTION II: Membership - shall be divided into two classes
(a) Regular
(b) Family membership shall be available to any spouse or relative over 12 years of age. Family
members are eligible for full participation in SNC-NRHS meetings, trips, and Chapter activities.

SECTION III: The privileges of Chapter membership shall be dependant and predicated upon National
membership.

SECTION IV: All applications for membership shall be made on a form of application approved by the
Board of Directors and made available to all chapter officers and others interested. Applications shall
specify the type of membership desired and pertinent information relative to the applicant.

SECTION V: Applications for Chapter membership shall be accompanied by the proper amount of
Chapter and National dues as of the date of application. If membership is declined the applicant's
monies will be refunded.

SECTION VI: Local Membership cards shall show the name of the member.

ARTICLE V - DUES

SECTION I: Dues - Local Chapter dues shall be in addition to the mandatory National dues and shall
be at such a rate sufficient to defray the necessary operating expenses of the Chapter. Members of
other NRHS Chapters who wish to affiliate will be required to pay the prevailing Chapter dues only.

SECTION II: All memberships expire at midnight of December 31st. Annual dues shall be payable in
advance on or before January 1st of each year.

SECTION III: Non-payment of annual dues shall cause termination of membership.

ARTICLE VI - MEETING OF MEMBERS

SECTION I: Meeting of members - regular monthly meetings may be held at a time and place
determined by the membership.

SECTION II: A simple majority vote shall prevail at all member meetings.

SECTION III: At least five (5) persons in good standing of this Chapter, two (2) of which must be
officers, shall constitute a quorum for meetings.

ARTICLE VII - BOARD OF DIRECTORS

SECTION I: Board of Directors shall consist of the President, Vice President, Secretary, Treasurer
and National Director.

SECTION II: Board of Director meetings will be held at least quarterly and more often if deemed
necessary. The meeting must consist of a minimum of three (3) members of the Board.

ARTICLE VIII - ELECTED OFFICERS

SECTION I: Officers - the elected officers will consist of President, Vice President, Secretary,
Treasurer and National Director.

SECTION II: Whenever any elective office shall become vacant from any cause, it shall be filled by the
Board at its next meeting. Temporary appointments may be made by the President, pending the next
meeting of the board, and subject to its' confirmation.

ARTICLE IX - DUTIES OF THE OFFICERS

SECTION I: The President shall have charge of the business affairs of the Chapter and shall preside at
all meetings of the members, and at all meetings of the board. The President shall be ex-officio, a
member of all committees and shall have the right to vote on all matters determined by that
committee. The President shall have the power to appoint such additional committees as he may
deem necessary or proper. In the absence of the President, the next highest ranking officer present
shall preside at meetings of the Members of Board of Directors.

SECTION II: The Vice President shall be in charge of maintaining cordial relations among the
members and have general supervision over enrollment of new members, and shall act as chairman of
the membership committee. The Vice President shall also have such other duties as may be
delegated to him/her by the President or Board of Directors.

SECTION III: The Secretary shall keep records of the proceedings at all meetings of the members and
Board of Directors. The Secretary shall conduct correspondence, and cooperate with the President in
all matters pertaining to the Chapter and its activities.

SECTION IV: The Treasurer shall collect all dues from the members and receive all monies belonging
to the Chapter and shall deposit all funds in a bank or banks designated by the Board of Directors.
Funds shall be withdrawn only by check or drafts signed by the Treasurer and President and/or
Secretary. All bills for payment shall be approved for payment by the membership at their monthly
meeting. In case funds are needed in an emergency, the Treasurer can be authorized by the Board of
Directors to expend such funds. The Treasurer shall issue National and Chapter membership cards to
all members who have paid their annual dues. The Treasurer shall be responsible for updating the
membership list monthly and furnishing updated list to the Secretary. The Treasurer shall be
responsible for listing all acquisitions made by the Chapter, listing each item, its location, from the
date of approval of these Amended By-Laws.

ARTICLE X - ELECTION OF OFFICERS

SECTION I: All nominations for the Offices of President, Vice President, Secretary, Treasurer and
National Director shall be made from the floor, by any member in good standing once each year in the
month of October.

SECTION II: Any person nominated for an office shall be a member in good standing.

SECTION III: Elections will be held in November by sealed ballot mailed to all members, and returned
ballots must be received by November 30th to be tabulated in time for the Chapter's December
meeting, at which time the new officers will be announced and the election results sent to National.

Section IV: The Officers shall hold office for the year beginning January 1st and ending December
31st.

ARTICLE XI - AMENDMENTS

SECTION I: These Amended By-Laws, the By-Laws may be repealed, amended, added to, or
otherwise changed, only by a mailing of "Changes to be made to the By-Laws" to all members of the
Chapter and by an affirmative vote of two-thirds (2/3rds) of the returned ballots.

ARTICLE XII

SECTION I: This Corporation may be dissolved only on the affirmative vote of a majority of the entire
membership.

SECTION II: Dissolution - Upon dissolution of the Corporation, its' assets remaining after payment of,
or provision for the payment of, all debts and liabilities of this Corporation, shall be distributed to the
Clark County Museum, 1830 Boulder Highway, Henderson, Nevada (formerly the Southern Nevada
Museum, Henderson, Nevada) if it is then in existence and exempt; or to any other railroad oriented
organization operated exclusively for charitable and/or educational purposes and which has
established its tax exempt status under Section 501 (C) (3) of the Internal Revenue Code.
